This includes all orders to register a limited company, applications to register domain names, orders for web design, web hosting, orders for logo and graphics design or printing and company stationery.

K. "Recorded Mail" means Royal Mail or Courier signed for services. The method must be reflective of the value being posted and insured for such.

L. "Dispute Resolution Policy" means the method of notifying, investigating and responding to complaints as set out on this website.

2.8.3 The Business Bank Accounts are opened by and provided by Barclays Bank plc and subject to the terms and conditions as set forth by Barclays at the time of account opening.

8. Ordering

8.1 All orders that you place through this Website are deemed to be an offer by you to purchase the products or services that we supply subject to these Terms and are subject to acceptance of the order by ourselves. We may chose not to accept any order without providing a reason.

8.2 You are presented with a range of choices during the ordering process. It is your responsibility to ensure that you read and understand these choices before you proceed with any purchase. Please contact us during usual UK office hours if you are unsure about anything before you proceed with a purchase (please note that while we endeavour to respond to enquiries promptly, we cannot guarantee to do so. It remains your responsibility to take advice about the product you intend to order before the order is placed)

8.3 EZ Company Formations Limited is a specialist online companies formation agents and we make use of electronic filing facilities available from the Registrar of Companies. Any goods ordered individually or ordered with any package will be dispatched by Royal Mail first class post within 7 working days from the date of order.

8.4 Provided you have complied with the formalities necessary to purchase a company from us (as explained in more detail in the Frequently Asked Questions section) the Registrar of Companies will generally complete the incorporation within approximately 3 hours during normal working hours. However, we have no control over this process, which may take longer.

8.5 Our products do not include any of the following in respect of any of the packages we offer for sale online:

  1. Accountancy advisory services, tax advice, auditing of your books or other services not expressly mentioned. You will need to arrange these separately and our associated firm of accountants, EZ Accountancy, would be pleased to quote you for this.
  2. Any advice on the suitability or adequacy of any company you may purchase from us for your intended purposes.
  3. You are strongly advised to seek independent advice before you purchase a company from us. We assume that you have done so. If you have not yet taken such advice, please do not proceed with any purchase until you have done so.

8.6 The price for any goods or services that you purchase from us is as set out under the option you select and unless otherwise stated, all prices exclude VAT at the prevailing rate.

8.7 The total purchase price, including VAT, if any, will be displayed in your shopping cart prior to confirming the order.

8.8 We reserve the right periodically to update the prices on the Website and to add to, amend, or withdraw the products and services that we offer, without prior notice. Every effort is made to ensure that the prices are correct, but in the event of serious error, any transaction shall be voidable by us and you would then be entitled to a full refund.

8.9 We shall not be liable to anyone for withdrawing or amending any of the products we sell, or for refusing or failing to process an order.

8.10 These Specific Terms and Conditions must be read together with the General Terms and Conditions above. The General Terms and conditions apply to any agreement between us and to your use of the Website generally.

8.11 As company service providers, our ongoing services are subject to client identification legislation including The London Local Authorities Act and Know Your Client rules generally. We may need to ask you to provide proof of identity and the provision of services will be subject to receipt of this information.

8.12 We do not store credit card details nor do we share customer details with any 3rd parties. We also do not store any sorts of financial data of our clients.

9. Distance Selling Regulations

9.1 We comply fully with the Consumer Protection (Distance Selling) Regulations 2000 and the Electronic Commerce (EC Directive) Regulations 2002.

9.2 Generally under the Regulations you have the right to cancel the contract by giving us notice in writing, including fax or email at any time during the 'cooling off period' which finishes 7 working days after the day of receipt of the goods and services.

9.3 Due to the bespoke nature of most of the Goods and Services that we provide they are exempt from that 'cooling off' period and you may not cancel the order once it has been started.

9.4 Where a Good purchased is not bespoke, the order may be cancelled within the 7 working day 'cooling off' period provided that it has not been used or damaged in any way. Any such cancellation must be in writing and any Goods returned to the Company by Recorded Mail at the expense of the Customer.

10. Rights to Cancel the Agreement with us

10.1 These provisions apply to Goods or Services that may be cancelled in accordance with the Distance Selling Regulations, or ongoing services which are renewable automatically or periodically.

10.2 Bespoke Orders cannot be cancelled once work has commenced by the Company to fulfil that order for Goods or Services.

10.3 Any cancellation of new order must be made in writing and any cancellation request not made in writing will not be accepted.

10.4 If a cancellation request is made and the Goods or Services ordered are eligible to be cancelled, any monies due to be refunded to the Customer will be refunded within 30 days of the cancellation request.

10.5 The Company reserves the right to levy an administration fee of £15 inc VAT against any cancellation. Where applicable, this fee will be deducted from any sum due to be re-credited to the Customer.

10.6 No refunds are available in respect of parts of a package.

11. Cancellations by the Company

The Company reserves the right to cancel the order at any time if:

a) the Company has insufficient stock to deliver the Goods ordered by the Customer

b) the Company does not have the resources to deliver the Services ordered by the Customer

c) one or more of the Goods or Services ordered by the Customer were listed at an incorrect price due to a typographical error, or they were quoted at an incorrect price during the confirmation of order.

d) one or more of the Goods or Services ordered by the Customer involved a third party cost or disbursement that has caused a increase in completion of that order.

e) If the Company does cancel the contract the Customer will be notified by e-mail and the Company will re-credit to the Customer any sum deducted within 30 days of the order. The Company will not be obliged to offer any additional compensation for disappointment suffered or losses incurred as a result of the cancellation of the order.

12. Incidents Beyond Our Control

The Company shall have no liability to the Customer for any failure to deliver Goods or perform Services ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond reasonable control including, without limitation to, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.

13. Your status

13.1 By placing an order with the Company, the Customer is declaring that they are over the age of 18 and have sufficient legal status to enter into a binding agreement with the Company.

13.2 Where the Customer is a legal entity other than an individual person, the person completing the order on behalf of that legal entity is declaring that they have legal authority to do so. Failure to hold such authority will result in the individual being personally liable as a party to the agreement.

13.3 Where a customer who has placed an order for the formation of a limited company ("the customer company") enters into further contracts for the supply of goods and services relating to the customer company, and after the customer company has been registered, the liability for payment of these further contracts is joint and several between the customer and the customer company unless agreed in writing by a director of the company.

14. Disputes Resolution Policy

14.1 In the event of any dispute customers must email at cancellations@companyformations123.co.uk.

14.2 Emails will not be answered if customers fail to identify their business names or if customers use offensive languages on emails.

14.3 Every cancellation request will raise a ticket which will be notified to the customer via email by one of the managers.

14.4 Any subsequent chase of a refund must be performed by email only. Please do not send duplicate emails which may result in more delays in your refund claim.

14.5 If for any reason you are not happy about the outcome of the claim then please write to: Managing Director, EZ Company Formations Limited, 5 Fowey Avenue, Ilford, Essex, IG4 5JT.

14.6 You will receive a reply directly by our Managing Director within 10 working days of receipt of the complaint. You will not receive any reply if the steps above have not been completed before writing to our Managing Director.

14.7 Any conclusion made by our Managing Director will be deemed as the final outcome of the claim.

15. Cash Back Offer

15.1 Cash Back Offers are only available to UK residents.

15.2 Customers must open a bank account with one of our banking partners within one month of forming the company through the referring channel provided by us.

15.3 One customer will only get one cash back.

15.4 Every cash back claim is subject to further verification processes which may take up to 90 days.

15.5 Please claim by emailing support@companyformations123.co.uk with the name of your company, your address together with the company's sort code and account number.

15.6 All cash back payments will be made by BACS in to your company bank accounts. You do not need to chase any claim within first 90 days of initiating your claim.

15.7 Every bank account is subject to normal bank credit and money laundering checks.
